1. Acceptance of these Terms
These Terms of Use (“Terms”) govern your access to and use of the Power & Grace Partner Hub, including its websites, portals, content and related services (the “Hub”). The Hub is operated by Power and Grace Co Limited (“Power & Grace”, “we”, “us” or “our”).
By creating an account, clicking to accept these Terms, or using the Hub, you confirm that you have read and agree to these Terms and our Privacy Policy. If you use the Hub for a company or other organisation, you confirm that you have authority to bind that organisation.
2. Eligibility and account responsibilities
The Hub is intended for business users who are at least 18 years old and have legal capacity to enter into binding agreements. You must provide accurate, current and complete registration information and keep it updated.
- Keep your password and authentication credentials confidential.
- Do not share an individual account or allow unauthorised access.
- Notify us promptly if you suspect loss, misuse or compromise of your account.
- You are responsible for activity carried out through your account, except to the extent caused by our failure to use reasonable security measures.
3. Partner application and approval
Registration is an application for access and does not guarantee approval. We may verify business information, request reasonable supporting details, approve, reject, limit or revoke access based on our legitimate business, compliance and security requirements.
Approval to use the Hub does not by itself appoint you as a distributor, agent, representative, franchisee or exclusive partner, and does not create a partnership, joint venture, fiduciary or employment relationship. Any such relationship must be set out in a separate written agreement signed by authorised representatives.
4. Permitted use and prohibited conduct
You may use the Hub only for legitimate internal business purposes connected with evaluating, purchasing, reselling, installing or supporting our products and services, subject to your approved access level.
You must not:
- access another user’s account or restricted data without permission;
- copy, scrape, harvest, reverse engineer or systematically extract Hub content or data;
- upload malicious code or attempt to bypass security, rate limits or access controls;
- misrepresent your identity, company, authority or partner status;
- use Hub content to create misleading claims about products, certifications or availability;
- use the Hub in violation of applicable law, trade controls, sanctions or third-party rights.
5. Product and commercial information
Product descriptions, images, specifications, availability, lead times, pricing and other commercial information in the Hub are provided for business planning and may be updated. They do not constitute a binding offer unless expressly stated.
Orders, quotations, payments, delivery, warranties, returns and after-sales obligations are governed by the applicable quotation, order confirmation, sales contract, warranty terms or other written agreement. If there is a conflict, the specifically agreed commercial document prevails for that transaction.
6. Confidential and restricted information
Partner pricing, unreleased product information, technical files, sales materials marked confidential, customer-specific terms and other access-controlled content may be confidential. You must protect such information using at least reasonable care, use it only for the authorised business purpose, and disclose it only to personnel or advisers who need to know and are bound by appropriate confidentiality duties.
This section does not apply to information that you can demonstrate was lawfully public, already known without restriction, independently developed, or lawfully received from a third party. Legally compelled disclosure is permitted where notice is given when lawful and practicable.
7. Intellectual property
The Hub and its content—including text, product materials, photographs, graphics, software, trademarks, logos and compilations—are owned by or licensed to Power & Grace and protected by applicable intellectual property laws.
We grant approved users a limited, revocable, non-exclusive, non-transferable right to access and use the Hub for the permitted business purposes. No ownership is transferred. Use of our brand names or marketing assets is subject to written brand guidelines and any separate partner agreement.
If you submit feedback, you grant us a worldwide, royalty-free right to use it to improve our products and services, without identifying you publicly unless agreed.
8. Availability, security and third-party links
We aim to operate the Hub reliably but do not guarantee uninterrupted or error-free availability. We may maintain, modify or discontinue features and may apply reasonable security controls. Third-party websites or services linked from the Hub are governed by their own terms and privacy practices.
9. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, the Hub is provided on an “as available” basis. We exclude implied warranties that may lawfully be excluded. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or fraudulent misrepresentation.
Subject to the preceding sentence, neither party will be liable under these Terms for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business opportunity, goodwill or data, arising solely from use of the Hub. Any liability relating to a product purchase or separate service is governed by the applicable commercial agreement.
10. Suspension, termination and changes
You may stop using the Hub at any time. We may suspend or terminate access where reasonably necessary for security, suspected misuse, legal compliance, prolonged inactivity, termination of a commercial relationship, or material breach of these Terms. Where practicable, we will give notice.
We may update these Terms to reflect operational, legal or security changes. We will post the updated version and effective date and, for material changes, provide reasonable notice through the Hub or by email. Continued use after the effective date constitutes acceptance where permitted by law.
11. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. The courts of Hong Kong have exclusive jurisdiction over disputes arising from or relating to these Terms or the Hub, unless mandatory applicable law requires otherwise.
Before starting formal proceedings, each party should first attempt in good faith to resolve the dispute through written notice and reasonable business discussions.
